Resolution Authorizing the Mayor and City Clerk to enter into an agreement with Pace and Intersection Media LLC for the installation, maintenance and revenue sharing for the proposed advertising passenger shelters at the bus staging area at the Route 59 Commuter Train Station.

 

PURPOSE:

To obtain authorization to enter an agreement with Pace and Intersection Media LLC for installation, maintenance and revenue sharing on the passenger shelters at Route 59 Commuter Train Station.

 

BACKGROUND:

The Route 59 Commuter Train Station is located north of Meridian Lake Drive and West of Route 59.  Burlington Northern Santa Fe (BNSF) partially owns the underlying lands on which the commuter station/parking lot is located on (including the bus staging area), as shown on exhibit "B"- Location Map.

 

On July 17, 1989, the City and BNSF entered into a lease agreement for operation of the commuter parking facility. The terms of the lease agreement allow the City to make certain improvements and to collect revenue for the City's expenses for the operation and maintenance of the commuter station and parking lots.

 

In April of 2016, the City begun work to improve the parking facility, as shown on Exhibit "C"- Spring of 2016 Improvement Plan.  These improvements consisted of; extension of Station Blvd, installation of traffic signal, construction of Pace staging area, reconfiguration and expansion of paved parking areas, and installation of new parking lot lighting and security cameras.  Construction is currently in progress and substantial completion is scheduled for October 2016.

 

The newly designed Pace staging area has been completed and being used by Pace buses. There are no passenger shelters at the bus staging area.  Pace and Intersection Media have entered into a separate agreement for the acquisition, installation and maintenance of shelters placed within Pace's service region (including the Route 59 Train Station).  .

 

DISCUSSION:

The purpose of this agreement is to ensure that the proposed Pace shelters are properly maintained and to set forth revenue sharing principles.  The installation of the shelters and long-term maintenance of the shelters will be the responsibility of Pace and its contractor. No City's funds will be used for the installation and maintenance of the shelters. The initial term of this lease agreement is 10 years and up to 10 shelters can be installed. After the 10 year period, the agreement shall be in force unless either party terminates with 90 days advance notice. Revenue generated should be deposited in transit account No. 530-4434-341-50-99.  BNSF has approved the installation of the passenger shelters per BNSF and City's lease agreement.

RECOMMENDATIONS:

That the Mayor and City Clerk to Enter into an Agreement with Pace and Intersection Media LLC for the Installation, Maintenance and Revenue Sharing for the passenger shelters at the Parking Facility at Route 59 Commuter Train Station.

WHEREAS, the City of Aurora has a population of more than 25,000 persons and is, therefore, a home rule unit under subsection (a) of Section 6 of Article VII of the Illinois Constitution of 1970; and

 

WHEREAS, subject to said Section, a home rule unit may exercise any power and perform any function pertaining to its government and affairs for the protection of the public health, safety, morals, and welfare; and

 

WHEREAS, Burlington Northern Santa Fe (BNSF) owns the underlying lands on which the proposed shelters will be installed, as shown on exhibit "B"- Location Map.

 

WHEREAS, the City and BNSF entered into a Lease Agreement (Resolution R89-196 with amendment dates of June 25, 1996 and October 14, 2008) for the operation of the commuter Parking Facility. The terms of the Agreement allow the City to make improvements and to collect revenue for the City's costs and expenses for the operation and maintenance of the Parking Facility; and

 

WHEREAS, Pace (a Suburban Bus Division of the Regional Transportation Authority, an Illinois Municipal Corporation) provides bus services to Route 59 Commuter Train Station; and

 

WHEREAS, Pace and Intersection Media LLC, entered into an agreement for the acquisition, installation and maintenance of shelters placed within Pace's service region (Pace Contract #220802); and

 

WHEREAS, the City has begun construction work to improve the Parking Facility as shown on exhibit "C"- Spring of 2016 Improvements Plan; and

 

WHEREAS, the City, Pace and Intersection Media desire to enter into an agreement for the installation, maintenance, and revenue sharing of the shelters placed on the City leased property, attached hereto as “Exhibit A”- Passenger Shelter Agreement; and 

 

WHEREAS, said Agreement would mutually benefit the City of Aurora and its citizens, Pace and Intersection Media LLC.

 

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Aurora, Illinois, as follows: that the Mayor and City Clerk are hereby authorized to execute the Passenger Shelter Agreement, a copy of which is attached, hereto as “Exhibit A”.
