SUBJECT:

Resolution authorizing the Mayor and City Clerk to enter into an agreement with Pace and Intersection Media LLC for the installation, maintenance and revenue sharing for the proposed advertising  passenger shelters at the Aurora Transportation Center (ATC) and in the City. 

 

PURPOSE:

To obtain authorization to enter an agreement with Pace and Intersection Media LLC for installation, maintenance, and revenue sharing for the proposed advertising passenger shelters in the City and at the Aurora Transportation Center (ATC).

 

BACKGROUND:

Aurora Transportation Center is located south of the Post Office Drive and east of Broadway Avenue.  Burlington Northern Santa Fe (BNSF) owns the underlying lands on which the commuter parking is located on as shown on the attached Location Map.

 

On August 21, 1984, the City and BNSF entered into a lease agreement for operation of the commuter parking facility under Resolution R84-2239.  The terms of the lease agreement allow the City to make certain improvements and to collect revenue for the City's cost and expense for the operation and maintenance of the parking facility.

 

Starting Spring of 2018, the City will begin work to improve the parking lot as part of the ATC Regional Facility Enhancement project.  Associated with the ATC project, the existing Pace bus shelters will be relocated to the west side of the parking lot, refer to the attached Overall ATC Regional Facility Enhancement Plan.

 

Currently Pace has 3 advertising shelters at the ATC and 11 non-advertising shelters throughout the City, located in the public right of way.  Pace and Intersection Media have entered into an agreement for the acquisition, installation, and maintenance of shelters placed throughout Pace's Service Region.  Up to 8 new advertising shelters will be installed at the ATC along with 11 new advertising shelters located within the right of way. 

 

Currently there is no agreement with Pace for the shelters located within the City’s right of way.  This agreement (Exhibit "A"- Passenger Shelter Agreement) defines the responsibility of Pace for the construction, installation, and maintenance of these shelters. The agreement also requires Pace to obtain a permit for installation of these shelters in the right of way.

 

DISCUSSION:

This proposed agreement is similar to the agreement executed by the City for the Rte. 59 Parking Lot, executed on August 23, 2016. All parties acknowledge that the purpose of this agreement is to ensure that the proposed Pace shelters are properly maintain and to set forth revenue sharing principles.  The term of the agreement shall remain in force for a minimum of 10 years. After the 10 year period, the agreement shall be in force unless termination notice is given by either parties, with 90 days advance written notice of termination. BNSF has no objection to the overall ATC enhancement project, which included the relocation of Pace staging area and shelters.

 

IMPACT STATEMENT:

No Impact.

 

RECOMMENDATIONS:

That the Mayor and City Clerk to enter into an agreement with Pace and Intersection Media LLC for the installation, maintenance, and revenue sharing for Pace passenger shelters installed in the City of Aurora.

WHEREAS, the City of Aurora has a population of more than 25,000 persons and is, therefore, a home rule unit under subsection (a) of Section 6 of Article VII of the Illinois Constitution of 1970; and

 

WHEREAS, subject to said Section, a home rule unit may exercise any power and perform any function pertaining to its government and affairs for the protection of the public health, safety, morals, and welfare; and

 

WHEREAS, Burlington Northern Santa Fe (BNSF) owns the underlying lands on which the proposed shelters will be installed, as shown on Exhibit "A"- Location Map.

 

WHEREAS, the City and BNSF entered into a lease agreement (Resolution R84-2239) for the operation of the commuter parking facility; and

 

WHEREAS, Pace, a Suburban Bus Division of the Regional Transportation Authority, an Illinois municipal corporation provides bus services to Aurora Transportation Center and throughout the City; and

 

WHEREAS, Pace and Intersection Media LLC, entered into an agreement for the acquisition, installation, and maintenance of shelters placed within Pace's service region (Pace Contract #220802); and

 

WHEREAS, the City, Pace and Intersection Media desire to entered an agreement for the installation, maintenance, and revenue sharing of the advertising shelters placed on the City leased property and throughout the City, attached hereto as  Exhibit "A”- Passenger Shelter Agreement; and

 

WHEREAS, said agreement would mutually benefit the City of Aurora and its Citizens, Pace and Intersection Media LLC; and

 

WHEREAS, said agreement outlines the installation and maintenance of Pace passenger shelter at the Aurora Transportation Center and in the City's right of way; and

 

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Aurora, Illinois, as follows: that the Mayor and City Clerk are hereby authorized to execute the Passenger Shelter Agreement, a copy of which is attached, hereto as Exhibit "A”.
