SUBJECT:

A Resolution Authorizing approval of a Lease Agreement between the City of Aurora and Aurora Downtown District.

PURPOSE:

The City of Aurora enters into this lease agreement with the Aurora Downtown District (ADD) to support the effective delivery of services that enhance the vitality of the downtown area. By providing centrally located office space at a nominal cost, the City enables ADD to maintain a consistent and visible presence within the district it serves, facilitating coordination with local businesses, stakeholders, and City staff while improving responsiveness to downtown needs and initiatives.

This arrangement represents a strategic investment by the City in the continued success of ADD’s operations by reducing administrative overhead and allowing a greater share of the organization’s resources to be directed toward programming, marketing, beautification, and economic development activities. In doing so, the City strengthens its partnership with ADD and advances its broader goals of fostering economic growth, enhancing public spaces, and promoting downtown Aurora as a vibrant destination for residents, visitors, and businesses.

BACKGROUND:

The City of Aurora is a home rule municipality under Illinois law, and the Aurora Downtown District (ADD) is a local nonprofit organization created to support and improve the downtown area. ADD focuses on making downtown Aurora a more vibrant place to live, work, and visit by promoting events, supporting local businesses, and maintaining and enhancing public spaces. The City recognizes that this work benefits the community and has an interest in continuing to support these efforts, while ADD remains committed to strengthening and promoting downtown.

To help fund this work, the City created a special service area known as SSA-One, which collects taxes from properties within the downtown area to be used specifically for its development, promotion, and maintenance. ADD has been designated to manage these funds because of its close connection to downtown stakeholders and its experience carrying out these activities. This structure ensures that resources are directed back into downtown in a way that is both locally informed and accountable.

Following input gathered during the “Let’s Talk Downtown” community conversations in June 2025, the City took additional steps to better respond to the needs of downtown property owners and businesses by forming ADD as a dedicated organization. This partnership formalizes a more focused approach to managing services and programs, including events, business support, public space improvements, and economic development efforts, with the goal of strengthening downtown as a destination for residents, businesses, and visitors.

DISCUSSION:

The Lease Agreement outlines the terms under which the Aurora Downtown District will occupy office space at 77 S Broadway Suite 240. The agreement provides ADD with designated furnished office space, shared access to meeting spaces, and basic operational support, while maintaining clear boundaries between City operations and ADD as an independent nonprofit organization. Notably, ADD staff will not have access to confidential City systems, internal networks, or platforms such as Outlook or Teams, as ADD operates independently using its own Google Workspace environment. The lease establishes a nominal rental rate and defines responsibilities related to maintenance, permitted use, insurance, and liability. It also clarifies that the space is provided “as-is” and limits alterations to protect City property. Council members are encouraged to review the full lease for detailed terms regarding occupancy, operational boundaries, and shared facility use.  (See Exhibit A - LEASE AURORA DOWNTOWN DISTRICT).

IMPACT STATEMENT:

Approval of this item will authorize a Lease Agreement between the City and ADD, enabling ADD to carry out day to day activities that support downtown. This includes coordinating events, supporting local businesses, maintaining public spaces, and promoting economic growth.

RECOMMENDATIONS:

Staff recommends approval of this Lease Agreement with Aurora Downtown District.
